In the frenzied world of artificial intelligence, a strange new kind of exit has quietly become the most coveted, and the most contentious, outcome a startup can hope for. It is not a flotation on the stock market, nor a clean sale to a larger rival. It is the reverse acquihire, a structure in which the biggest technology companies effectively swallow a startup whole, taking its people and its technology, without ever formally buying the company at all.
A twenty billion dollar loophole

The scale of this manoeuvre is difficult to overstate. Between March 2024 and January 2026, Google, Microsoft, Amazon and Meta collectively spent more than 20 billion dollars hiring away the founding teams of AI startups, without technically acquiring a single one of those companies. In little more than eighteen months, an entirely new pathway for consolidating the industry has opened up, largely outside the reach of traditional merger rules.
Far from being an accident, this has become a deliberate strategy on both sides of the table. Startups now actively position themselves to be absorbed purely for their talent, assembling teams so strong that Big Tech simply cannot resist. In a market where elite AI researchers are the scarcest resource of all, a brilliant team has become a more valuable asset than any product, patent or line of code the company might own.
How the HALO structure works
The mechanics are ingenious, and carefully designed. Insiders have dubbed it the HALO effect, short for Hire And License Out, in which a giant hires the key personnel while taking only a non-exclusive licence to the startup's technology. Because no controlling stake changes hands, the deal sidesteps both antitrust scrutiny and the legal complications of a full acquisition, all while achieving very nearly the same result.
Crucially, this structure still delivers a payday to the people who matter most in the venture ecosystem. It returns capital to the investors who backed the company and provides liquidity to the founders and a handful of key employees. The original startup, meanwhile, technically continues to exist, though usually as a hollowed-out shell, often shrinking dramatically or pivoting to a modest licensing-revenue model in the shadow of the giant that gutted it.
The landmark deals
The blueprint was drawn up by Microsoft, which pioneered the modern playbook with its Inflection deal, paying around 650 million dollars to license the startup's technology and hire most of its staff, including co-founder Mustafa Suleyman. What looked at the time like an unusual arrangement quickly became the template that every rival would rush to copy over the following months.
The deals only grew bigger from there. Google announced that Noam Shazeer and Daniel De Freitas, the celebrated researchers behind Character.AI, had departed for Google as part of a licensing arrangement worth roughly 2.7 billion dollars. Meta, under Mark Zuckerberg, has been especially aggressive in building out its Superintelligence Labs, pouring some 14 billion dollars into Scale AI and recruiting its co-founder Alexandr Wang in the process.
Perhaps the starkest illustration of the human cost came with Google's swoop for Windsurf. The company paid about 2.4 billion dollars to hire the startup's founders and around forty staff, took no equity in the business, and sent much of the money to the founders. Newer employees, whose stock options were left unvested or reset, were in many cases left holding nothing at all despite having helped build the very thing being bought.
Who wins, who loses, and the regulators circling
This lopsided distribution of the spoils is the source of the deepest unease. The people who benefit most from a reverse acquihire are specifically the founders and the most senior research talent, rather than the broader team who wrote the code and shipped the product. What is left behind is a pattern of hollowed-out companies and rank-and-file employees clutching stock options that have suddenly become worthless.
Zoom out, and a more worrying picture emerges for the whole industry. Talent is being steadily concentrated inside the same small handful of firms, and the AI market is beginning to resemble an oligopoly dominated by a few titans. For founders and venture investors, including those across Britain and Europe, it raises an uncomfortable question about whether the next generation of independent AI champions can survive being perpetually stripped for parts.
Regulators are, belatedly, beginning to stir. The structure has attracted the attention of competition authorities examining whether these talent raids are simply acquisitions by another name, engineered to dodge oversight. Three Democratic senators went so far as to write to the FTC and the Department of Justice demanding enforcement action against reverse acquihires, naming Google, Microsoft, Amazon, Nvidia and Meta directly in their letter.
For now, the reverse acquihire sits in a grey zone that is lucrative for a fortunate few and precarious for everyone else. It has rewritten what a successful exit looks like in artificial intelligence, blurring the line between hiring and buying almost beyond recognition. Whether it endures as the defining deal of the AI era, or is reined in by a regulatory reckoning, will shape who ultimately controls the most powerful technology of our time.
